1. Acceptance of Terms
By creating an account, accessing, or using UTradeIT ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. We may update these Terms from time to time; continued use after changes constitutes acceptance. You will be prompted to re-accept the Terms upon login when material changes are made.
2. Platform Description
UTradeIT is an AI-powered trading analytics and execution platform. The Platform provides software tools, algorithmic strategy development, trade execution capabilities, performance analytics, and a self-improving machine learning engine ("UMTE" — Unified Master Trading Engine). UTradeIT is software only — it is not a broker-dealer, investment advisor, or financial institution.
3. Eligibility
You must be at least 18 years old and legally able to enter into binding agreements in your jurisdiction. You are responsible for ensuring your use of the Platform complies with all applicable laws, including securities regulations and broker rules in your jurisdiction.
4. Account Responsibilities
You are solely responsible for maintaining the confidentiality of your account credentials, all activity under your account, your trading decisions, risk management, account supervision, and compliance with applicable laws and broker rules. UTradeIT is not responsible for unauthorized access to your account.
5. No Financial Advice
Nothing on this Platform constitutes financial, investment, tax, or legal advice. All trading signals, analytics, lessons, and strategy recommendations generated by the Platform are for informational and educational purposes only. You are solely responsible for your trading decisions and their outcomes. Past performance does not guarantee future results.
6. Risk Disclosure
Trading financial instruments involves substantial risk of loss. You may lose some or all of your invested capital. Algorithmic and automated trading systems carry additional risks including but not limited to: software errors, connectivity failures, market gaps, slippage, and execution delays. You should only trade with capital you can afford to lose.
7. Intellectual Property
All Platform code, algorithms, machine learning models, strategy logic, trade analysis methods, the UMTE engine, documentation, and associated intellectual property are owned exclusively by UTradeIT and its founder. You may not copy, reverse engineer, decompile, disassemble, or create derivative works from any part of the Platform. Your use of the Platform grants you a limited, non-exclusive, non-transferable, revocable license to access the Platform for personal use only.
8. Founding Contributor Credits
UTradeIT offers a Founding Contributor Credits program ("Credits Program") that allows users to make voluntary financial contributions to the Platform in exchange for credits.
8.1 Credit Issuance
Credits are issued at a rate of $1 USD = 1 Credit. Credits are recorded on the Platform's public contributions ledger, which serves as the authoritative source of truth for all credit holdings.
8.2 Credit Nature and Status
Credits are not securities, equity, stock, or ownership interests at the time of issuance. Credits represent a record of voluntary contribution and entitle the holder to the benefits described herein. Credits do not confer voting rights in corporate governance, dividend rights, or any ownership claim until and unless converted as described in Section 8.5.
8.3 Immediate Credit Benefits
- 1:1 dollar discount on monthly live trading subscription fees when live trading is enabled
- Founding Contributor recognition on the public ledger
- Priority access to new features and beta programs
- Platform governance voting rights proportional to credit holdings (on platform decisions, not corporate governance)
8.4 Credit Persistence
Credits do not expire and cannot be revoked except in cases of fraud, violation of these Terms, or as required by law. The public ledger is maintained indefinitely as the authoritative record.
8.5 Equity Conversion
It is the intent of UTradeIT that credits will convert to equity ownership when BOTH of the following conditions are satisfied:
- Live trading is enabled on the Platform for end users
- All necessary licensing and regulatory permissions have been obtained
Upon satisfaction of both conditions, credits will convert to equity shares at a rate of $1 = 1 Credit = 1 Share. The total share structure is:
- Total Shares: 100,000,000
- Founder: 55,000,000 (55%)
- Employee/Reserve Pool: 25,000,000 (25%)
- Contributor Pool: 20,000,000 (20%) — maximum credits issuable
8.6 Acquisition or Public Offering
In the event UTradeIT is acquired by another entity or conducts an initial public offering (IPO), credits will automatically convert to shares or their dollar-value equivalent. The conversion value will be proportional to the total sale/valuation amount based on the number of credits held relative to the total share count (100,000,000).
Example: If you hold 1,000 credits and UTradeIT is acquired for $50,000,000, your credits convert to shares worth $500 (1,000 / 100,000,000 × $50,000,000).
8.7 No Guarantee of Conversion
While it is UTradeIT's stated intent to convert credits to equity, conversion is contingent on regulatory approval and business milestones. UTradeIT does not guarantee that live trading will be enabled, that regulatory approval will be obtained, or that an acquisition or IPO will occur. Contributors acknowledge this uncertainty when making contributions.
8.8 Refund Policy
Contributions are voluntary and non-refundable except as required by applicable law. Credits retain their immediate benefits (fee discounts, early access, recognition) regardless of whether equity conversion occurs.
9. Prohibited Conduct
You agree not to:
- Reverse engineer, decompile, or disassemble any part of the Platform
- Copy, reproduce, or create derivative works from Platform algorithms or strategies
- Use the Platform for market manipulation, wash trading, or any illegal activity
- Attempt to gain unauthorized access to other users' accounts or Platform systems
- Scrape, crawl, or automatically extract data from the Platform
- Resell, sublicense, or redistribute Platform access or outputs
- Misrepresent your identity or provide false information
- Interfere with Platform operations or other users' access
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UTRADEIT AND ITS FOUNDER, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING LOSSES, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE PLATFORM. UTRADEIT'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO UTRADEIT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. UTRADEIT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT TRADING SIGNALS WILL BE PROFITABLE.
12. Termination
UTradeIT may suspend or terminate your account at any time for violation of these Terms or for any reason with reasonable notice. Upon termination, your right to use the Platform ceases immediately. Credits held at the time of termination remain on the public ledger and retain their conversion rights unless termination was due to fraud.
13. Privacy and Data
UTradeIT collects and processes personal information necessary to operate the Platform, including your name, email, trading activity, and contribution history. Your first initial and last name may appear on the public contributions ledger. Full personal information is stored securely and accessible only to Platform administrators for the purposes of credit verification, regulatory compliance, and payment processing in the event of a financial event (acquisition, IPO, or equity conversion).
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
